Terms of Service

These Terms of Service ("Terms") govern your use of pulseagency.ae ("Website") and any services provided by Pulse Agency ("Pulse", "we", "us", "our") — a Dubai-based growth studio registered in the Ajman Free Zone, United Arab Emirates.

By accessing our Website or engaging our services, you agree to these Terms. If you do not agree, do not use our Website or services.

1. Services

Pulse provides digital services including but not limited to:

• AI marketing intelligence, dashboards and automation
• Website design, development and digital product builds
• Growth marketing — paid media, organic, retargeting, CRM automation
• Brand design, graphic design, video, motion, music and sound
• Advisory, audits and fractional operator engagements

Specific deliverables, timelines, fees and terms are defined in individual Statements of Work (SoW) or written engagement agreements.

2. Engagement and payment

Each client engagement begins with a signed proposal or SoW specifying scope, deliverables, timeline and fees. Standard payment terms:

• Project engagements: 50% deposit on signature, balance on delivery unless otherwise agreed
• Monthly retainers: invoiced monthly in advance, payable within 14 days of invoice
• Late payments: may incur a fee of 2% per month or as permitted by UAE law
• Currency: AED unless otherwise agreed

3. Client responsibilities

To deliver our best work, we rely on you to:

• Provide timely access to accounts, data, brand assets and stakeholders
• Respond to feedback requests within reasonable timeframes
• Ensure all materials provided are legally yours to share
• Provide accurate business, technical and legal information

Delays caused by client inaction may extend timelines or incur re-planning fees.

4. Intellectual property

Client IP: All materials, data and assets you provide remain your property.

Deliverables: Upon full payment, deliverables created specifically for you (final design files, code, campaigns) become your property. Pulse retains the right to use non-confidential work in our portfolio, case studies and marketing.

Pulse IP: Frameworks, methodologies, tools, templates and pre-existing code we bring to your project remain our property. You receive a perpetual, non-exclusive license to use them as part of your deliverable.

Third-party assets: Fonts, stock images, plugins and libraries are licensed separately and remain the property of their respective owners.

5. Confidentiality

Both parties agree to keep confidential information private — including business strategy, financial data, customer information and any material marked confidential. This obligation survives termination of the engagement.

6. Warranties and disclaimers

We provide services with professional skill and care, but we do not guarantee specific business outcomes such as revenue growth, ranking positions, conversion rates or campaign performance beyond what is explicitly agreed in writing.

The Website is provided "as is" without warranties of any kind, express or implied. We do our best to keep the Website accurate, current and available, but disruptions may occur.

7. Limitation of liability

To the maximum extent permitted by UAE law, Pulse's total aggregate liability under any engagement is limited to the fees paid by you to Pulse in the six (6) months preceding the event giving rise to the claim.

Neither party is liable for indirect, consequential, incidental or special damages including lost profits, lost data, business interruption or loss of goodwill.

8. Termination

Either party may terminate a retainer engagement with 30 days' written notice. Project engagements may be terminated for material breach with 14 days' notice and opportunity to cure.

On termination, Pulse hands over all completed deliverables and invoices for work performed up to the termination date.

9. Third-party services

Our work may involve third-party platforms — Google, Meta, TikTok, HubSpot, Salesforce, Shopify, OpenAI, Anthropic and others. Your use of these platforms is governed by their own terms and policies. Pulse is not liable for third-party service failures, changes or outages.

10. Data protection

Pulse processes personal data in accordance with our Privacy Policy and applicable law (UAE PDPL and, where relevant, GDPR).

11. Website use

You agree not to:

• Use the Website for any unlawful purpose
• Attempt to gain unauthorized access to our systems or data
• Scrape, mirror or reproduce the Website without permission
• Use automated tools to submit forms or interact with the Website
• Reverse engineer, decompile or disassemble any part of the Website

12. Governing law and jurisdiction

These Terms are governed by the laws of the United Arab Emirates. Any dispute arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts of the Emirate of Dubai, unless otherwise agreed in writing.

13. Changes to these Terms

We may update these Terms from time to time. The "Last updated" date at the top indicates the most recent revision. Continued use of the Website after updates constitutes acceptance of the revised Terms.
